Welcome to PDMarketplace! By becoming a vendor on our platform, you agree to the following terms and conditions:

Original Content

All content uploaded to PDMarketplace must be original and created by you. You are responsible for ensuring that your content does not infringe on any copyright, trademark, patent, trade secret, or other intellectual property rights. PDMarketplace reserves the right to remove any content that violates these terms, and you will be solely liable for any claims, damages, or legal actions arising from such violations. By uploading content, you grant PDMarketplace a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content for the purpose of operating and promoting the platform.

Commission

PDMarketplace operates on a 70% commission basis. As a vendor, you will receive 70% of the net revenue generated from the sale of your professional development courses (PDs), after applicable taxes, payment processing fees, and refunds. PDMarketplace retains the remaining 30% to cover platform maintenance, marketing, and other operational costs. Payments will be processed monthly, on or before the 15th of the following month, provided your earnings meet a minimum threshold of $50. If the threshold is not met, earnings will roll over to the next payment cycle. PDMarketplace reserves the right to withhold payments in the event of suspected fraudulent activity, chargebacks, or disputes, until resolved.

Content Moderation

PDMarketplace reserves the right to moderate all content uploaded to the platform. This includes reviewing content for accuracy, relevance, quality, and compliance with our community guidelines. We may remove, edit, or reject any content that we deem inappropriate, offensive, misleading, or in violation of our terms and conditions, at our sole discretion. Vendors will be notified of any content removal or edits, but PDMarketplace is not obligated to provide detailed reasoning for such actions. You agree that PDMarketplace is not liable for any loss of revenue or damages resulting from content moderation.

Customer Support

As a vendor, you are responsible for providing customer support to users who purchase your PDs. This includes answering questions, resolving issues, and addressing concerns within 48 hours of receiving a customer inquiry. PDMarketplace may provide assistance with customer support at its discretion, but the primary responsibility lies with the vendor. Failure to provide adequate support may result in warnings, content removal, or account suspension.

Liability and Indemnification

You agree to indemnify, defend, and hold harmless PDMarketplace, its affiliates, employees, and partners from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from your content, actions, or failure to comply with these terms. PDMarketplace is not liable for any indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities) related to your use of the platform, even if advised of the possibility of such damages.

Compliance with Laws

You are responsible for ensuring that your content and activities on PDMarketplace comply with all applicable local, state, national, and international laws, including but not limited to copyright, privacy, tax, and consumer protection laws. PDMarketplace may request documentation (e.g., tax forms, W-9 for U.S. vendors) to ensure compliance, and failure to provide such documentation may result in withheld payments or account termination.

Termination and Suspension

PDMarketplace reserves the right to suspend or terminate your vendor account at its sole discretion, with or without notice, for reasons including but not limited to: violation of these terms, fraudulent activity, failure to meet customer support obligations, or posting inappropriate content. Upon termination, PDMarketplace will pay any outstanding earnings (subject to the $50 threshold and dispute resolution) within 60 days, after deducting any fees, refunds, or chargebacks. You may terminate your account at any time by providing 30 days’ written notice to support@pdmarketplace.com, after which any unsold content will be removed from the platform.

Dispute Resolution

Any disputes arising from these terms or your use of PDMarketplace will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in [Your State], USA. You agree to waive your right to a jury trial or to participate in a class action lawsuit. Each party will bear its own legal fees, unless otherwise determined by the arbitrator. This clause does not apply to disputes involving intellectual property claims, which may be resolved in a court of competent jurisdiction.

Payment Disputes and Refunds

In the event of a customer refund request, PDMarketplace will review the request and may issue a refund at its discretion. Refunds will be deducted from your earnings, and you agree to cooperate with PDMarketplace in resolving refund disputes. PDMarketplace is not responsible for chargebacks initiated by customers; any chargeback fees will be deducted from your earnings. If your account balance is insufficient, you agree to reimburse PDMarketplace for any such fees within 30 days.

Account Security

You are responsible for maintaining the security of your PDMarketplace vendor account, including your login credentials. PDMarketplace is not liable for any unauthorized access to your account due to your failure to secure your credentials. If you suspect a security breach, you must notify us immediately at support@pdmarketplace.com.

Changes to Terms

PDMarketplace reserves the right to update these terms at any time. Changes will be communicated via email or through the platform, and continued use of PDMarketplace after such changes constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you may terminate your account as outlined above.
